1. Agreement to Terms

By accessing or using ReplyChat (accessible at https://replychat.app, the "Service"), provided by ReplyChat ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these Terms, you may not access or use the Service.

2. Description of the Service

ReplyChat is an outcome-based social automation software that enables creators, e-commerce brands, and businesses to automate responses to Instagram comments, direct messages (DMs), and story interactions via official Meta Graph API infrastructure powered by Zernio.

3. Account Registration & Security

• You must be at least 18 years of age or the legal age of majority in your jurisdiction.
• You are responsible for safeguarding your Google account credentials used to access ReplyChat.
• You agree to provide accurate and complete information when connecting your Instagram Creator or Business account.

4. Compliance with Meta & Instagram Platform Policies

When using ReplyChat to automate Instagram interactions, you agree to comply with all applicable policies established by Meta Platforms, Inc., including the Meta Commercial Terms and Instagram Community Guidelines. You strictly agree NOT to:

• Send unsolicited bulk messages (spam) or harass Instagram users.
• Promote prohibited goods, illegal activities, or deceptive financial schemes.
• Attempt to scrape, reverse engineer, or bypass rate limits imposed by Meta or Zernio infrastructure.

5. Subscriptions and Billing

Billing: Plans are billed monthly and can be canceled anytime.

Paid Plans: Subscriptions are billed in advance on a recurring monthly basis ($12 Basic, $29 Pro, $79 Business). Payments are securely processed via Stripe.

Cancellation: You may cancel your subscription at any time directly through the Settings & Billing Portal. Cancellation takes effect at the end of the current billing cycle.

6. Intellectual Property & User Content

You retain all ownership rights to the content, text, media, and marketing copy you configure within ReplyChat automations. You grant ReplyChat a worldwide, non-exclusive license solely to transmit and deliver your automated messages as directed by your automation settings.

7. Disclaimer of Warranties & Limitation of Liability

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by law, ReplyChat shall not be liable for any indirect, incidental, special, exemplary, or consequential damages resulting from your use of the Service or any action taken by Meta Platforms on your connected Instagram account.
